Terms of Service

1. Acceptance of Terms

By accessing or using the LandXOS™ platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

LandXOS™ is an AI-powered land development platform provided by LandXOS™ ("Company", "we", "us"). The Service includes parcel analysis, due diligence tools, permit tracking, yield calculations, marketplace features, and related AI capabilities.

3. Beta Program Terms

IMPORTANT: LandXOS™ is currently in closed beta. Beta access is granted at the sole discretion of the Company. We may revoke access at any time, change features, add or remove functionality, or modify pricing without prior notice. Beta users acknowledge that the platform is under active development and may contain bugs, incomplete features, or unexpected behavior.

By participating in the beta, you agree to provide feedback when requested and understand that your experience may differ from the final public release.

4. Intellectual Property Protection

THE FOLLOWING INTELLECTUAL PROPERTY PROTECTIONS ARE STRICTLY ENFORCED:

Violation of these IP protections may result in immediate account termination, legal action, and claims for damages. All rights reserved.

5. Non-Disclosure for Beta Users

Beta features, functionality, user interfaces, and any non-public information you access are strictly confidential. You agree that:

• You will not share, post, or publicly discuss beta features, screenshots, demos, workflows, or feature descriptions without prior written consent from the Company
• You will not record, stream, or publish any portion of the beta experience on social media, blogs, or public forums
• Confidentiality obligations survive termination of your beta access

6. User Accounts & Data

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

7. Data Collection and Use

We collect name, email, phone number, role, usage data, parcel searches, and platform interactions. This data is used to provide the Service, improve platform features, send verification codes and updates (with your consent), and for internal analytics. We do not sell your data to third parties.

8. Subscription & Payment

Founding Member access is $99/month billed via Stripe. You authorize the Company to charge your payment method on a recurring basis. You may cancel at any time; access continues until the end of the paid period. No refunds for partial months.

9. Prohibited Uses

You may not use the Service to violate any law, infringe intellectual property, transmit malware, scrape data, or interfere with the platform's operation or other users.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Fairfax County, Virginia.
